1. Agreement to Terms

By accessing, downloading, installing, or using the Easy Convert mobile application ("App") or any related services ("Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our Services.

1.1 Capacity and Authority

By using our Services, you represent and warrant that:

• You are at least 18 years of age or have reached the age of majority in your jurisdiction
• You have the legal capacity to enter into this agreement
• You are not prohibited from using our Services under applicable law
• All information you provide is accurate and current

1.2 Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through:

• Website announcements and updates
• Push notifications where applicable

Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

2. Description of Services

Easy Convert provides a comprehensive file conversion and editing platform offering the following services:

• Image Processing: Format conversion, compression, rotation, resizing, cropping, and enhancement
• Video Editing: Format conversion, compression, cutting, merging, rotation, aspect ratio adjustment, and audio extraction
• Audio Processing: Format conversion, cutting, merging, and quality optimization
• PDF Operations: Conversion to/from various formats, compression, and manipulation

2.2 Service Levels

• Free Tier: Basic conversion features with usage limitations
• Premium Tier: Advanced features, higher processing limits, and priority support
• Enterprise Tier: Custom solutions, dedicated support, and volume licensing

2.3 Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or technical issues.

3. User Obligations and Prohibited Uses

3.1 Lawful Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You will not:

• Use the Services to process, store, or transmit illegal, harmful, or malicious content
• Violate any applicable local, state, national, or international law or regulation
• Infringe upon the rights of others, including intellectual property rights
• Engage in any activity that could damage, disable, or impair our Services

3.2 Prohibited Content

You may not use our Services to process content that:

• Contains illegal, harmful, or malicious software or code
• Infringes upon copyright, trademark, or other intellectual property rights
• Contains personal information of others without consent
• Is defamatory, obscene, or otherwise objectionable

3.3 Technical Restrictions

• Reverse engineer, decompile, or disassemble the App

All rights, title, and interest in and to the Services, including all intellectual property rights, are and will remain the exclusive property of Easy Convert and its licensors. This includes:

• Patents, copyrights, and trade secrets

4.2 Your Content

You retain all rights to the files and content you upload for processing. By using our Services, you grant us a limited, non-exclusive, royalty-free license to:

• Process your files solely for the purpose of providing our Services
• Store files temporarily during processing
• Generate derivative works necessary for conversion

4.3 License to Use Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or business purposes.

5. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of information as described in our Privacy Policy.

6. Payment Terms and Billing

6.1 Pricing and Payment

Our Services are offered on both free and paid tiers. Paid services are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law.

6.2 Subscription Management

• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial subscription periods

6.3 Price Changes

We may change our prices at any time. Price changes will be communicated at least 30 days in advance and will take effect at the next billing cycle.

7. Service Level Agreements and Disclaimers

7.1 Service Availability

We strive to maintain 99.9% uptime for our Services, excluding scheduled maintenance windows. However, we cannot guarantee uninterrupted service availability.

7.2 Performance Disclaimers

7.3 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Easy Convert be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities
• Service interruptions or delays
• Loss of files or content
• Cost of substitute services

Our total liability shall not exceed the amount you paid for the Services in the 12 months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Easy Convert and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from or related to:

• Your use of the Services in violation of these Terms
• Your violation of any third-party rights
• Your processing of files without proper authorization
• Your violation of applicable laws or regulations

9. Termination

9.1 Termination by You

You may terminate your use of the Services at any time by:

• Deleting the App from your device
• Closing your account through the App settings
• Contacting our customer support team

9.2 Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice, if you:

• Violate these Terms or any applicable law
• Use the Services for illegal or harmful purposes
• Engage in fraudulent or abusive behavior
• Fail to pay required fees when due

9.3 Effect of Termination

Upon termination:

• Your right to use the Services ceases immediately
• We may delete your account and associated data
• You remain liable for all amounts due and owing
• Provisions that by their nature should survive termination remain in effect

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

10.2 Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

10.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be limited to the dispute between you and Easy Convert individually. You waive any right to participate in class actions or consolidated proceedings.

11. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect. We will replace any unenforceable provision with a valid provision that most closely approximates the intent of the original provision.

13. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Easy Convert regarding the use of our Services and supersede all prior or contemporaneous communications and proposals.
